1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you (or the organisation you represent) and VeryBooked Ltd, a company registered in England and Wales under company number 15393026, whose registered office is at 71-75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom, trading as "VeryBookedAI" ("we," "us," or "our"). By creating an account, accessing, or using any part of our platform or services (collectively, the "Services"), you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Services. If you are accepting on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

2. Service Description

VeryBookedAI provides an AI automation platform for service businesses, including the following features (as made available from time to time):

  • Voice AI. AI-powered phone agents that handle inbound and outbound calls, answer customer questions, and route or book appointments.
  • Chat AI. Conversational chat widgets and integrations that engage website visitors and messaging channel contacts.
  • Lead capture. Automated flows that collect contact information and qualify prospective customers.
  • Reactivation campaigns. Outbound messaging sequences that re-engage dormant customer contacts via SMS, email, or voice.

We may modify, discontinue, or add features at any time. Where a modification materially reduces your access to the Services, we will provide at least 30 days' written notice.

3. Account Registration

To use the Services you must:

  • Be at least 18 years of age or the age of legal majority in your jurisdiction.
  • Provide accurate, complete, and current registration information and keep it up to date.
  • Maintain the confidentiality of your account credentials and be fully responsible for all activity that occurs under your account.
  • Notify us immediately at [email protected] if you suspect unauthorised access to or use of your account.

We reserve the right to refuse registration, suspend, or terminate accounts at our reasonable discretion.

4. Acceptable Use

When using the Services you must not:

  • Send unsolicited commercial messages (spam) or conduct outbound campaigns to contacts who have not provided appropriate consent under applicable law.
  • Scrape, crawl, or otherwise extract data from the Services using automated means without our prior written consent.
  • Use the Services for any purpose that is unlawful, deceptive, harmful, harassing, defamatory, or that violates any third-party rights.
  • Attempt to probe, scan, or test the vulnerability of our systems, or circumvent any authentication or security controls.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Violate any applicable data protection or direct-marketing law, including the UK GDPR, the Data Protection Act 2018, the Privacy and Electronic Communications Regulations (PECR), the EU GDPR, or the equivalent regulations in your jurisdiction (for example the TCPA and CCPA/CPRA if you operate in the United States).

You are solely responsible for ensuring your use of the Services complies with all applicable laws, including obtaining any required consents from your customers before recording calls or sending automated messages.

5. AI Output Disclaimer

The AI agents on the VeryBookedAI platform generate responses based on patterns in training data and the knowledge base content you provide. AI outputs are tools to assist you and your team; they are not professional, legal, medical, financial, or other regulated advice.

You are solely responsible for reviewing AI outputs before acting on them and for all decisions made in connection with the use of the Services. VeryBookedAI makes no warranty that AI outputs will be accurate, complete, or suitable for any particular purpose. It is your responsibility to implement appropriate human oversight for any use case that carries material risk.

6. Billing and Refunds

VeryBookedAI offers subscription plans billed on a monthly or annual basis. By providing a payment method you authorise us (or our payment processor, Stripe) to charge the applicable fees on the billing cycle you select.

  • Monthly subscriptions renew automatically at the end of each calendar month. You may cancel at any time; cancellation takes effect at the end of the current billing period.
  • Annual subscriptions are billed upfront for the full year. If you cancel an annual plan before the end of the term, you will retain access through the end of the paid period; no partial refunds are issued as a matter of right.
  • Prorated adjustments. If you upgrade your plan mid-cycle, we will charge a prorated amount for the remainder of the billing period. Downgrades take effect at the next renewal.
  • Refunds are evaluated on a case-by-case basis. Please contact [email protected] within 14 days of a charge if you believe it was made in error.

All fees are exclusive of taxes. You are responsible for any applicable sales tax, VAT, or similar levies.

7. Intellectual Property

VeryBookedAI owns the platform. The Services, including all software, algorithms, interfaces, documentation, and branding, are owned by VeryBookedAI or its licensors and are protected by copyright, trademark, and other intellectual property laws. You receive a limited, non-exclusive, non-transferable licence to use the Services as permitted by these Terms.

You own your data. You retain all ownership rights in the customer data, call recordings, chat transcripts, and knowledge base content you upload or generate through the Services. You grant VeryBookedAI a limited licence to process that content solely as necessary to provide the Services to you, as described in our Privacy Policy.

You must not copy, modify, distribute, sell, or create derivative works of any part of the VeryBookedAI platform without our prior written consent.

8. Termination

Termination by you. You may cancel your account at any time via your account settings or by emailing [email protected].

Termination by us. We may suspend or terminate your account immediately and without prior notice if we determine that you have materially breached these Terms, engaged in fraudulent activity, or if continued provision of the Services would expose us or others to legal or regulatory risk. We will provide written notice of the reason where practicable.

Upon termination, your access to the Services will cease. We will retain your data in accordance with our retention policy set out in the Privacy Policy. You may request an export of your data within 30 days of termination.

9. Limitation of Liability

To the fullest extent permitted by applicable law, VeryBookedAI and its directors, employees, contractors, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, arising out of or in connection with these Terms or the use of (or inability to use) the Services, even if advised of the possibility of such damages.

Our total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the total fees you paid to VeryBookedAI in the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of liability for certain types of damages. In those jurisdictions, our liability is limited to the greatest extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless VeryBookedAI and its directors, employees, contractors, and agents from and against any claims, liabilities, damages, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right, including privacy, intellectual property, or telecommunications rights; or (d) any content you submit, upload, or transmit through the Services.

11. Governing Law and Disputes

These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter, shall be governed by and construed in accordance with the law of England and Wales.

You and VeryBooked Ltd irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim. Nothing in this clause limits any mandatory right you may have, as a consumer, to bring proceedings in the courts of the country in which you are resident.

12. Changes to These Terms

We may revise these Terms from time to time. If we make material changes, we will notify you by email to the address associated with your account and by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the Services after the effective date of any revision constitutes your acceptance of the updated Terms.

If you do not agree to the revised Terms, you must stop using the Services before the effective date of the changes and may request account closure by contacting us at [email protected].
